Summary (not a substitute for the full Terms): by using HEKAX, you agree that AI outputs may be imperfect, you remain responsible for reviewing all results, and HEKAX’s liability is limited. These Terms work together with any Service Agreement or Statement of Work you sign with us.

1. Acceptance of Terms

By accessing the HEKAX website, booking a call, or using any HEKAX LLC services (including AI automation, AI agents, PrivateGPT, workflow systems, dashboards and consulting) you agree to these Terms of Service ("Terms"). If you do not agree, you must not use our website or Services.

2. Services

HEKAX LLC ("HEKAX", "we", "our", "us") provides AI automation systems, workflow engineering, AI phone and chat agents, PrivateGPT deployments, document automation, dashboards, and related professional services (collectively, the "Services").

Specific features, deliverables, timelines, and pricing may be defined in a separate proposal, statement of work, or master service agreement (each an "Agreement" or "SOW"). If there is a conflict between these Terms and a signed Agreement, the Agreement generally prevails for that engagement.

3. No Guarantee of Accuracy (AI Disclaimer)

Our Services rely on large language models, AI APIs, and automated workflows. These systems can:

produce incorrect, incomplete, or outdated information;
misinterpret instructions or user input;
generate content that appears plausible but is false ("hallucinations").

All AI-generated or automated outputs are provided for informational and operational support only. You are solely responsible for reviewing, verifying, and deciding how to use any output produced by the systems we build or host for you.

HEKAX is not liable for decisions, actions, or outcomes based on AI-generated output or automated workflows.

4. Client Responsibilities

You agree to:

Provide accurate, complete, and timely information needed to design and implement your systems.
Review and approve workflows, prompts, business rules, and logic before they are put into production.
Use the Services only in compliance with all applicable laws, regulations, and industry rules.
Obtain any required consent from your customers, staff, or end users for data processing, recording, or automation.
Verify the accuracy and suitability of AI and automation outputs before relying on them.
Maintain the security of your own accounts, API keys, and credentials, and notify us promptly of any suspected compromise.

5. No Professional Advice

HEKAX does not provide legal, financial, tax, medical, or other regulated professional advice. Any output that appears to provide such advice is purely generative and must not be relied upon without independent professional review. You are responsible for ensuring compliance with all professional obligations and regulations in your jurisdiction.

6. Third-Party Services

Our solutions integrate with third-party platforms including, but not limited to, OpenAI, Anthropic, Llama providers, Twilio, WhatsApp, Vercel, Firebase, Google Cloud, n8n, and other APIs or infrastructure providers.

You acknowledge that:

Third-party terms of service, usage limits, and policies apply in addition to these Terms.
HEKAX is not responsible for downtime, pricing changes, data handling practices, or behaviour of third-party services.
Service interruptions or limitations from those providers may affect solutions we build for you.

7. Availability & Uptime

We aim to help you build reliable systems but do not guarantee uninterrupted Service, specific uptime levels, or error-free operation, unless expressly committed in a separate written Service Level Agreement (SLA). The Services may be unavailable due to maintenance, updates, third-party outages, or other factors beyond our control.

8. Fees, Billing & Refunds

Fees for Services are communicated in writing, typically via proposal, SOW, or invoice. Unless otherwise agreed:

Fees are payable upfront or as specified in the invoice or Agreement.
Work may not start until initial payment or deposit is received.
Once work has started, payments are non-refundable except where required by law.
We may suspend or terminate Services for late or non-payment.

9. Intellectual Property

Unless explicitly agreed otherwise in a written Agreement, HEKAX retains ownership of all underlying frameworks, internal tools, libraries, prompts, and automation templates used to deliver the Services.

You retain ownership of:

Your own data, documents, and domain-specific business content.
Your trademarks, branding, and proprietary business information.

Subject to full payment of all fees due, you receive a non-exclusive, non-transferable license to use the specific implementation delivered to you for your internal business purposes.

10. Prohibited Use

You may not use the Services to:

Violate any applicable laws, regulations, or third-party rights.
Engage in fraud, abuse, harassment, or other harmful behaviour.
Create or distribute malicious, discriminatory, hateful, or violent content.
Support unlawful surveillance or human-rights abuses.
Build systems in violation of the acceptable use policies of AI or infrastructure providers.

HEKAX may suspend or terminate Services immediately if we reasonably believe they are being misused or used illegally.

11. Limitation of Liability

To the fullest extent permitted by law, HEKAX LLC, its members, employees, and partners will not be liable for:

Indirect, incidental, special, or consequential damages.
Loss of profits, revenue, goodwill, or business opportunities.
Loss or corruption of data.
Any decision or action taken based on AI output or automation.
Third-party service outages, failures, or changes.

In any event, HEKAX's total aggregate liability arising out of or relating to the Services is limited to the amount you paid HEKAX in the 30 days immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless HEKAX LLC from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

Your use or misuse of the Services.
Your breach of these Terms or any Agreement with us.
Your violation of any third-party rights or applicable law.
Any content, data, or instructions you supply or process using the Services.

13. Termination

Either party may terminate ongoing engagements as described in the relevant Agreement or SOW. HEKAX may suspend or terminate access to systems if you breach these Terms, misuse the Services, or fail to pay fees when due.

No refunds are provided upon termination unless required by law or explicitly agreed in writing.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration in Wyoming, USA, unless a different process is required by applicable law. You waive any right to participate in a class action or class-wide proceeding against us.

15. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the latest version. Your continued use of the website or Services after changes become effective constitutes acceptance of the revised Terms.
